Nilli Studio Creator Portal — End-User License Agreement

1. About this agreement
This agreement governs access to the Nilli Studio Creator Portal (“Portal”), provided by Nilli Studio Inc. (“Nilli Studio,” “we,” “us”). “You” means the individual accessing the Portal and, where you have authority to act for it, the client business you represent. Please read this agreement before accepting it. If you do not agree, do not activate or use a Portal account; contact us about another way to obtain your billing information.
The Portal supplements your written production or other service agreement with Nilli Studio. It does not change agreed deliverables, prices, payment deadlines, ownership of commissioned work, or cancellation rights. If those matters conflict, your signed service agreement controls. Rights that cannot legally be waived remain unaffected.
2. Accounts and permitted access
The Portal is intended for authorized Nilli Studio clients and their approved representatives. Access requires an account assigned to the relevant client. You must provide accurate account information, keep your credentials confidential, and use only your authorized account. Do not share credentials or attempt to access another client's records.
Tell us promptly if you suspect unauthorized access, receive someone else's information, or no longer have authority to represent the client. Contact us to request changes to authorized users. Nilli Studio may verify identity and authority before granting or changing access.
3. License and acceptable use
While your access remains authorized, Nilli Studio grants you a limited, non-exclusive, non-transferable right to use the Portal for your relationship with Nilli Studio, including viewing and downloading your available billing records.
You may not bypass access controls, misuse another person's credentials, introduce harmful code, interfere with service operation, extract other clients' information, or use the Portal unlawfully. This does not restrict activities that applicable law expressly permits.
Nilli Studio and its licensors retain ownership of the Portal software, design, branding, and related intellectual property. Your use does not transfer ownership of your content or business records to Nilli Studio. Ownership of commissioned production work remains governed by your separate service agreement.
4. Billing information and service limitations
Available features may include invoice summaries, balances, invoice downloads, and links to external payment services. Nilli Studio connects its own QuickBooks company account and associates relevant customer records with your Portal account. You do not need to connect a personal QuickBooks account.
Information may be delayed, temporarily unavailable, or incomplete while synchronization occurs. A Portal display does not amend an invoice or confirm that payment has cleared. If an amount, due date, payment status, or customer assignment appears wrong, contact Nilli Studio so we can check the underlying accounting record and correct any error. The underlying record can also contain errors and remains subject to correction.
Examples marked “sample,” “demo,” or “test” are illustrative and are not demands for payment. Previewed or announced features are not included in your purchased services unless expressly agreed.
5. External payment links
If Nilli Studio adds a payment link, the Portal may provide a button that opens a third-party payment page. Check the recipient, currency, and amount before paying. The payment provider's applicable terms and privacy notice govern its service.
The Portal itself does not collect full payment-card credentials or process charges. Selecting a link does not itself authorize a charge. Payment status in the Portal depends on the payment being recorded in Nilli Studio's accounting system and subsequently synchronized. Contact Nilli Studio before retrying a payment if its outcome is unclear.
6. Privacy and team access
Our Privacy Policy explains the information handled through the Portal. Authorized Nilli Studio team members responsible for administration and operations may manage account mappings, review billing information, and preview the information shown to a creator for support and verification. Your Portal records are not private from the Nilli Studio team members authorized to manage your account.
Providing access to the Privacy Policy does not replace any separate consent required by law for particular processing.
7. Third-party services and availability
The Portal relies on third-party hosting, authentication, accounting, and, where linked, payment services. These services may experience outages or change their functionality. Nilli Studio does not represent that the Portal is supplied, endorsed, or guaranteed by Intuit or any other provider.
We aim to keep the Portal useful and accurate but do not guarantee uninterrupted access or immediate synchronization. We may carry out maintenance and change technical features. Material changes to purchased services remain subject to your service agreement. Contact us if an outage prevents access to an invoice you need.
8. Suspension and closure
We may restrict access when reasonably necessary to address a security incident, unauthorized use, a legal requirement, or the end of your authorization. Where appropriate, we will explain the restriction and help resolve an error. You may request closure of your Portal access by contacting us.
Closing access does not cancel a production agreement, erase outstanding payment obligations, or automatically remove records that must be retained for accounting, legal, or legitimate business purposes. Retention and privacy requests are addressed in the Privacy Policy.
9. Responsibility and applicable law
Any liability provisions in your signed service agreement apply to the Portal to the extent that agreement covers it. This agreement does not create an additional monetary liability cap or require you to indemnify Nilli Studio. Nothing excludes liability or remedies that applicable law does not allow the parties to exclude.
This agreement is governed by the laws of Quebec and applicable federal laws of Canada, subject to any mandatory laws and rights that apply to you. It does not require mandatory arbitration or waive a legally protected right to bring a claim.
10. Changes and contact
We will identify the effective date of revised terms and give reasonable advance notice of material changes, unless a more immediate change is needed for legal or security reasons. Where required, we will request renewed acceptance. Changes do not retroactively alter agreed charges or completed transactions.
